Welcome to SeedStage. These Terms of Service ("Terms") constitute a legally binding agreement between you and SeedStage Inc. ("SeedStage," "we," "us," or "our") governing your access to and use of the SeedStage website, platform, and related services (collectively, the "Services").

IMPORTANT NOTICE: Investing in startups and early-stage companies involves a high degree of risk, including the potential loss of your entire investment. These investments are illiquid, speculative, and suitable only for investors who can afford to lose the capital they invest.

1. Definitions

  • "User" refers to any individual or entity that accesses or uses the Services.
  • "Investor" refers to a User who invests in or backs a project or company through the Platform.
  • "Issuer" refers to a startup, company, or project creator raising capital or funds through the Platform.
  • "Offering" refers to an investment opportunity or crowdfunding campaign presented by an Issuer.

2. Eligibility and Account Registration

2.1 Age and Capacity

You must be at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Services on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

2.2 Accreditation

Certain investment opportunities on SeedStage are restricted to "Accredited Investors" as defined by applicable securities laws. You agree to provide truthful and accurate information regarding your accreditation status and financial situation.

3. The Services

SeedStage provides a hybrid platform that facilitates:

  • Rewards-Based Crowdfunding: Backers support projects in exchange for non-monetary rewards or products.
  • Equity Crowdfunding: Investors purchase securities (e.g., shares, SAFE notes, tokens) in early-stage companies.
  • Secondary Trading: A marketplace for trading assets, subject to liquidity and regulatory restrictions.

SeedStage provides the technology platform but does not provide investment advice, legal advice, or tax advice. We do not endorse or recommend any specific Offering.

4. Risks of Investing

By using the Services, you acknowledge and accept the inherent risks of investing in private markets:

  • Loss of Capital: Most startups fail. You should only invest what you can afford to lose.
  • Illiquidity: Your investment may be locked up for years. There is no guarantee of a secondary market for your shares.
  • Dilution: Your percentage ownership may decrease if the company raises additional capital in the future.
  • Lack of Control: As a minority shareholder, you will likely have limited or no voting rights.

5. Issuer Obligations

Issuers are solely responsible for the accuracy and completeness of their Offering materials. Issuers represent and warrant that:

  • They have the legal right to offer and sell the securities or rewards.
  • They comply with all applicable laws and regulations.
  • They will use the funds raised solely for the purposes described in their campaign.

6. Fees and Payments

SeedStage charges fees for the use of its platform, which may include listing fees, success fees (percentage of funds raised), and transaction fees. These fees are disclosed prior to any transaction. You are responsible for any third-party fees, such as payment processing or wire transfer fees.

7. Intellectual Property

SeedStage and its licensors own all rights, title, and interest in the Services and the SeedStage content. You grant SeedStage a non-exclusive, worldwide, royalty-free license to use, reproduce, and display any content you post (e.g., campaign details, comments) for the purpose of operating and promoting the Services.

8. Limitations of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SEEDSTAGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

9. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in compliance with applicable laws, rather than in court. You waive any right to a jury trial or to participate in a class action lawsuit.

10. Modifications

We may modify these Terms at any time. If we make material changes, we will notify you through the Services or by email. Your continued use of the Services after the effective date of the changes constitutes your acceptance of the new Terms.
